Terms and Conditions Agreement
Effective Date: January 1st 2023
These Terms and Conditions (“Agreement”) are entered into between Marc UW (“Company”) and the user (“User” or “Merchant”) accessing and utilizing the services provided by Marc UW (“Services”). By using the Services, the User agrees to be bound by the terms and conditions set forth in this Agreement.
Acceptance of Terms
By accessing or using the Services, the User acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement, as well as any additional guidelines or rules applicable to specific Services. If the User does not agree to these terms, they must refrain from using the Services.
Services
2.1 Description: Marc UW provides a range of merchant banking services, including but not limited to financial advisory, investment banking, debt and equity financing, mergers and acquisitions, and strategic consulting.
2.2 Limitations: The User acknowledges that the Services provided by Marc UW may be subject to limitations, including changes in regulatory requirements or market conditions. The Company reserves the right to modify or discontinue any aspect of the Services at any time without prior notice.
User Obligations
3.1 Eligibility: The User represents and warrants that they are of legal age and have the legal capacity to enter into this Agreement. If the User is accessing the Services on behalf of a business entity, they further represent and warrant that they have the authority to bind the entity to this Agreement.
3.2 Compliance: The User agrees to comply with all applicable laws, regulations, and industry standards when using the Services. The User shall be solely responsible for obtaining any necessary licenses, permits, or authorizations required for their business operations.
3.3 Accurate Information: The User agrees to provide accurate, complete, and up-to-date information to Marc UW when using the Services. The Company shall not be held liable for any losses or damages arising from the User’s provision of false or misleading information.
Fees and Payments
4.1 Pricing: The fees and pricing for specific Services provided by Marc UW shall be agreed upon in a separate written agreement between the Company and the User. The User agrees to pay all applicable fees as outlined in the agreement.
4.2 Payment Terms: Unless otherwise specified, all fees are due and payable within the specified days from the invoice date. Failure to make timely payments may result in the suspension or termination of the Services and legal action.
4.3 Taxes: The User is responsible for any taxes, duties, or levies imposed on the fees and payments made to Marc UW under this Agreement.
Confidentiality and Data Protection
5.1 Confidential Information: Both parties acknowledge that during the course of their engagement, they may have access to confidential and proprietary information of the other party. Each party agrees to maintain the confidentiality of such information and to use it solely for the purpose of fulfilling their obligations under this Agreement.
5.2 Data Protection: Marc UW shall handle and process personal data in accordance with applicable data protection laws and regulations. The User acknowledges and agrees that Marc UW may collect and use certain information necessary to provide the Services.
Intellectual Property
6.1 Ownership: The User acknowledges that all intellectual property rights, including but not limited to trademarks, logos, and copyrighted materials, associated with the Services provided by Marc UW are the sole property of the Company.
6.2 Restrictions: The User agrees not to reproduce, modify, distribute, or create derivative works based on the Company’s intellectual property without prior written consent.
Limitation of Liability
7.1 Disclaimer: The User acknowledges that the Services provided by Marc UW are subject to inherent risks and uncertainties. The Company does not guarantee the accuracy, completeness, or suitability of the Services for any specific purpose, and the User assumes all risks associated with their use.
7.2 Indemnification: The User agrees to indemnify and hold harmless Marc UW, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from the User’s use of the Services or any breach of this Agreement.
Termination
8.1 Termination by User: The User may terminate this Agreement by providing written notice to Marc UW. Any outstanding fees or obligations shall remain payable by the User until the effective date of termination.
8.2 Termination by Company: Marc UW reserves the right to terminate this Agreement or suspend the Services at any time, with or without cause, upon written notice to the User. In such cases, any prepaid fees shall be prorated and refunded to the User.
Entire Agreement
This Agreement constitutes the entire understanding between Marc UW and the User concerning the subject matter herein and supersedes all prior agreements, representations, or understandings, whether written or oral.
By using the Services provided by Marc UW, the User acknowledges that they have read, understood, and agreed to be bound by this Terms and Conditions Agreement.
